1. Acceptance of Terms
This Terms of Use Agreement (the “Agreement”) constitutes a legally binding contract between The Design Companion, a brand under AF DESIGN VENTURES, a Singapore-incorporated entity ("we," "our," or "us"), and the Client, whether acting on behalf of a company or as an individual. By accessing and using The Design Companion’s website and services, including subscribing to a plan or interacting with our platform, you (“the Client”) agree to all terms and conditions outlined in this Agreement. Please review them carefully.
Failure to agree to and adhere to all terms and conditions will result in the express prohibition of the Client’s use of the website and services. If you do not agree, you must discontinue use immediately.
2. Services Provided
The Design Companion offers subscription-based design services. Clients are entitled to request design work according to their chosen plan. Specific terms regarding design requests, revisions, and the scope of services are outlined in your subscription plan.
3. Intellectual Property Rights
All content on The Design Companion website — including but not limited to source code, databases, functionality, software, website design, audio, video, text, images, and graphics (the "Content") — as well as any trademarks, logos, and service marks (the "Marks") are the exclusive property of The Design Companion and are protected by international intellectual property laws.
Content and Marks are provided “As-Is” for informational and personal use only. No part of the website may be copied, reproduced, sold, licensed, or used for any commercial purpose without prior written permission from The Design Companion.
4. Ownership of Designs
All design materials, assets, and original source files created on behalf of the Client through our services ("Requests") will become the sole property of the Client once payment is made in full. If any law suggests otherwise, The Design Companion hereby assigns its entire interest in the Request to the Client.
Once paid in full, ownership of the final designs will be transferred to the client.
Clients warrant that all materials they provide do not infringe on any third party’s intellectual property rights.
5. User Responsibilities
By using the website and services, Clients represent and warrant that they:
→ Have the legal capacity to agree to these terms.
→ Provide accurate and up-to-date information when subscribing.
→ Will use the services for lawful purposes only.
→ Will not use automated means to access the website or engage in any illegal or unauthorized activities.
6. Prohibited Activities
Clients agree not to:
→ Use the website or services for any unauthorized commercial purposes.
→ Engage in any fraudulent or misleading behavior.
→ Circumvent any security measures, reverse-engineer the software, or attempt to exploit vulnerabilities on the website.
→ Use the website in a way that violates applicable laws or regulations.
7. Design Deliverables
Upon plan commencement, clients can submit design requests through their dedicated design boards.
Deliverables will adhere to the specifications outlined in the Request briefs submitted by clients.
→ Design requests will be handled within the limitations of the plan chosen.
→ Turnaround times may vary depending on clarity, complexity and volume.
8. Payment and Billing
All services are subscription-based, with upfront payments.
→ Subscriptions renew automatically at the start of each billing cycle unless canceled.
→ Renewal payments are to be made before the commencement of the new cycle.
→ Clients may cancel their subscriptions at any time, but no refunds will be provided for the remainder of the billing period.
9. Refund Policy
We offer a 7-day money-back guarantee for first-time clients, effective from the start date of the plan. During this period, clients may request a full refund if they are not satisfied with our services.
After the 7-day guarantee has passed, refunds will not be issued unless explicitly agreed upon. In such cases, refunds will be prorated based on the remaining subscription period and will incur a 10% administrative fee.
Please note that if a refund is processed within the 7-day money-back guarantee period, The Design Companion retains full ownership of all materials and designs created during that time.
10. Cancellation & Termination
You may cancel your subscription anytime. Upon cancellation, services will continue until the end of the current billing cycle. No refunds will be provided.
The Design Companion reserves the right to terminate any account for incomplete payment or breaches of our terms, without providing refunds for the remainder of the subscription period.
11. Showcasing Work
The Design Companion reserves the right to showcase the designs we create for the Client across our digital platforms unless a non-disclosure agreement (NDA) is signed. NDAs must be initiated by the Client and void The Design Companion’s right to display work publicly.
12. Governing Law
These Terms & Conditions shall be governed by, and construed in accordance with, the laws of the Republic of Singapore. Any disputes, claims, or legal actions arising out of or in connection with the use of our services shall be subject to the exclusive jurisdiction of the courts of the Republic of Singapore.
13. Modifications to the Terms
The Design Companion reserves the right to modify these Terms & Conditions at any time. Clients will be notified of any significant changes, and continued use of our services constitutes acceptance of the modified terms.
14. Limitation of Liability
We will not be liable for any indirect, incidental, or consequential damages resulting from the use of our services. Our maximum liability under any circumstances is limited to the total amount paid by the Client in the preceding two months.
15. Indemnification
Clients agree to defend, indemnify, and hold harmless The Design Companion from any claims, liabilities, or demands arising out of the use of our services, including but not limited to intellectual property infringement.
